Terms of Service

1. Operator / Contracting Party

"Pixelik" / "Pixelik Studio" is a brand operated by Didune SARL AU, a company registered in Morocco. Any services, invoices, and agreements are provided by Didune SARL AU unless explicitly stated otherwise.

2. Services & Packages

Pixelik Studio provides custom software development and AI integration services through fixed-scope "Packages" (e.g., Discovery Sprint, Pilot V1 Sprint) and custom engagements. The specific deliverables, hard limits, and timelines for each Package are defined on our website and confirmed in your invoice or agreement.

3. Intellectual Property

Unless otherwise agreed in writing:

Client Ownership: Upon full payment, you will own 100% of the rights, title, and interest in the custom deliverables, source code, and design assets created specifically for you.

Background IP: Pixelik Studio retains rights to its pre-existing code libraries and tools ("Background IP"). We grant you a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and distribute any Background IP incorporated into your deliverables, ensuring you are never locked in.

4. Payment & Credits

Fixed Pricing: Packages are billed at the fixed rates advertised or agreed upon.

Credit Policy: If you proceed from a "Discovery + Prototype Sprint" to a "Pilot V1 Sprint" within 45 days of the Discovery Sprint's completion, 100% of the fee paid for the Discovery Sprint will be credited towards the Pilot V1 Sprint fee.

5. Warranty

We provide a 14-day warranty period following the handover of the Pilot V1 Sprint deliverables. During this period, we will fix any bugs or defects in the code at no additional cost. This warranty does not cover new feature requests, issues caused by third-party API changes, or modifications made by your team.

6. Confidentiality

We agree to keep your proprietary information confidential and to use it only for the purpose of providing the Services. You agree to keep our proprietary information (including pricing and technical specifications) confidential.

7. Limitation of Liability

To the maximum extent permitted by law, Pixelik Studio (Didune SARL AU) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

8. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

For avoidance of doubt, the contracting party providing the services is Didune SARL AU, based in Casablanca, Morocco.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on the Site. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
